Terms of Service

1. Who we are, and what these terms cover

Onefive is published by YC STRATEGIC VENTURES, a French SAS registered with the Paris Trade and Companies Register under number 103 274 072, with its registered office at 229 rue Saint-Honoré, 75001 Paris, France. Full identification of the publisher and hosting providers is available in our legal notice.

By creating an account or using the platform, you agree to these terms. If you do not agree with them, do not use the service.

2. The service

Onefive is a platform that connects startup founders and investors. It includes, among other things: a social feed, private messaging, datarooms for sharing documents in a controlled way, member and startup profiles, and project spotlighting.

The service is in its launch phase: features evolve and may be added, changed or removed. If some features become paid, you will be clearly informed before committing to anything.

3. Onefive is not an investment advisor

Onefive is a tool for connecting people and sharing information. We do not provide investment advice, do not perform due diligence on startups or investors, do not guarantee the accuracy of any information published by members, and are not a party to any transaction concluded between them. Any investment decision is your sole responsibility, including compliance with the rules that apply to your situation.

4. Your account

• The service is aimed at a professional audience; you must be at least 15 years old and have the capacity to enter into these terms.
• You agree to provide accurate information and to keep it up to date.
• Your email address identifies your account. You can sign in with a password or through Google, LinkedIn or Apple: these sign-ins all lead to the same account, the one associated with your email.
• You are responsible for keeping your credentials confidential and for the activity on your account. Tell us without delay at support@onefive.app if you suspect unauthorised use.

5. Your content

You remain the owner of everything you publish or upload on Onefive: posts, messages, documents, startup data. You grant us only the licence needed to operate the service: to host, store, reproduce and display your content, within the access rules you configure (for example, a dataroom document is only shown to the people you shared it with). This licence ends when you delete the content or your account, subject to temporary backup copies.

You are responsible for the content you publish and must hold the rights needed to share it.

6. Datarooms

• A dataroom's owner controls who can access it and can revoke access at any time.
• Viewing a dataroom is recorded and visible to its owner: who opened which documents, and when. By viewing a dataroom, you accept this tracking, described in our Privacy Policy.
• Documents shared with you through a dataroom are shared in confidence: you agree not to distribute them or use them outside the purpose for which they were shared with you, unless their owner allows it.

7. Prohibited conduct

When using Onefive, you agree not to:

• violate applicable laws or regulations;
• publish false or misleading information, in particular about your startup, your fundraising or your status as an investor;
• impersonate anyone;
• infringe the rights of others, including intellectual property rights;
• harass other members or send unsolicited bulk messages;
• collect or extract data from the platform in an automated way (scraping);
• attempt to gain unauthorised access to the platform, to accounts or to datarooms, or to interfere with their proper functioning.

8. Service availability

Onefive is provided "as is". We do our best to keep the platform available and reliable, but we do not guarantee uninterrupted availability or the absence of errors, especially during the launch phase. We may temporarily suspend the service for maintenance. Keep your own copy of documents that matter to you.

9. Liability

To the extent permitted by law, our liability is limited to direct and foreseeable damage caused by a breach attributable to us. We are not responsible for content published by members, nor for decisions, including investment decisions, made on the basis of information found on the platform. Nothing in these terms excludes liability that cannot be excluded by law.

10. Onefive's intellectual property

The platform, its design, code, brand and own content are protected by intellectual property law and remain the property of YC STRATEGIC VENTURES. These terms do not transfer any rights over them to you.

11. Termination and account deletion

You may close your account at any time. We may suspend or close an account where you breach these terms, where required by law, or where continuing to provide the service would expose Onefive or its members to a security or legal risk. Except where a breach makes immediate action necessary, we will tell you beforehand and give you a reasonable opportunity to respond. How data attached to a closed account is deleted is described in our Privacy Policy.

12. Changes to these terms

We may update these terms. If a change is material, you will be informed by email or through the platform before it takes effect; continuing to use the service after that date means the new terms apply.

13. Governing law and disputes

These terms are governed by French law. If you are a consumer, you keep the protection of the mandatory provisions of the law of your country of residence, and you may bring proceedings before the courts of your place of residence. Under the French Consumer Code you may also use a consumer mediator free of charge, and you can use the European Commission's online dispute resolution platform.
